About the Role

You'll join the Carta Law team within the Contracts - North Americas function, acting as the direct day-to-day contact for sophisticated investment fund and asset manager clients. You'll work alongside fellow lawyers and paralegals to deliver high volumes of pre-M&A contract work at speed, supported by AI-backed tools including Carta's proprietary platform, Ava. You'll negotiate NDAs, confidentiality agreements, NRLs, joinders, and engagement letters directly with counterparties while adhering to agreed turnaround times, and you'll build trusted advisor relationships with your clients. You'll also maintain and update client playbooks, mentor junior team members, and help identify ways to innovate using AI-backed legal technology.

Requirements

  • 6-8+ years of post law school corporate or transactional experience
  • Track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
  • Experience working with asset managers, investment banks, or other financial services firms
  • Law Degree and licensed to practice law in the Americas (US/Canada)
  • Comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ)
  • Strong commercial and client-focused communication skills

Responsibilities

  • Negotiate and manage high volumes of pre-M&A contracts including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters
  • Liaise directly with counterparties and adhere to agreed turnaround times
  • Serve as the primary day-to-day contact for clients, building trusted advisor relationships with investment funds and asset managers
  • Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across contract negotiations
  • Collaborate with and mentor junior lawyers and paralegals, reviewing their work
  • Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools
