About the Role
You will support private equity investment activities and private equity fundraise closings. You will prepare, maintain, and organize transactional and fund documentation; coordinate with internal and external professionals; manage closing materials and post-closing distributions; respond to investor and general partner requests; maintain tracking records; and assist with due diligence and other assigned projects.
Requirements
- Undergraduate degree, ideally with a business administration or law focus.
- Paralegal certificate from an ABA-accredited program is strongly desired.
- Two to three years of paralegal or legal project assistant experience in a corporate or transactional law practice setting with exposure to private equity fund structures.
- Experience assisting with multiple closings, preferably in private equity fundraising and investing, mergers and acquisitions, or debt finance.
- Experience managing and organizing transactional documentation, ideally for private equity fundraising or investments.
- Familiarity with global AML/KYC laws and regulations.
- Knowledge of document management systems, electronic data rooms, legal-focused and general AI systems, and the Microsoft Office suite.
- Interest in industry trends, product knowledge, marketing, and investor relations.
Responsibilities
- Prepare and maintain investment approval, subscription, debt finance, closing, formation, resolution, certificate, and AML/KYC documentation.
- Interact with investment professionals, lawyers, bankers, accountants, investors, and other professionals.
- Maintain control of closing documentation and ensure conformance with internal guidelines.
- Assist with preparing and maintaining private equity fund formation, fundraising, and investment documentation.
- Manage post-closing assembly and distribution of closing documents and volumes.
- Respond to investor and fund general partner requests related to closings, amendments, and supplemental information.
- Maintain and improve internal records, checklists, spreadsheets, and tracking devices.
- Participate in and assist with due diligence projects.
- Perform ad hoc projects as assigned.
