About the Role
You will draft and negotiate complex commercial agreements and lead reviews for crypto and payment related contracts. You will oversee corporate governance for US and global entities and manage board secretarial duties including drafting resolutions and maintaining minute books. You will provide end to end legal support for fundraising rounds and M&A including due diligence management data room oversight and definitive agreement negotiation. You will advise internal stakeholders on day to day legal issues and proactively identify risks and implement scalable mitigation strategies. You will help develop internal templates and playbooks and support MTL applications.
Requirements
- J.D. from an accredited US law school and active bar membership in at least one US jurisdiction
- Minimum of 5 years of experience in a high growth in house environment
- Proven track record in fintech payments or the crypto web3 space is highly preferred
- Ability to explain legal concepts clearly to non lawyers
- Adaptability and comfort with ambiguity in a fast paced global regulatory environment

- Draft and negotiate complex commercial agreements
- Lead legal review for crypto and payment related contracts including liquidity provider agreements custody arrangements and payment processing terms
- Oversee corporate governance for US and global entities and ensure compliance with local statutory requirements
- Manage board secretarial duties including drafting resolutions and maintaining minute books and managing entity formations and dissolutions
- Stay abreast of evolving regulatory requirements in multiple jurisdictions
- Provide end to end legal support for fundraising rounds and M&A including due diligence management data room oversight and definitive agreement negotiation
- Manage relationship with outside counsel to ensure cost effective and high quality deliverables
- Serve as trusted advisor to internal stakeholders on day to day legal issues
- Proactively identify legal risks and implement scalable mitigation strategies
- Support the development and refinement of internal legal templates and playbooks
- Support MTL applications
