About the Role
You will support the international entity portfolio by coordinating subsidiary formations, M&A execution, compliance calendars, corporate filings, governance records, entity management platforms, signatures, and vendor contract filings. You will work with Legal, Finance, People, outside counsel, service providers, and stakeholders across jurisdictions.
Requirements
- At least 3 years of experience in a corporate paralegal, entity management, or legal operations role
- Experience supporting entity formations, corporate filings, or corporate governance processes
- Familiarity with multiple jurisdictions and international outside counsel or service providers
- Excellent written and verbal communication skills
- Comfort working with AI tooling
- Exposure to M&A transaction support
- Paralegal certificate or equivalent professional training is a plus
Responsibilities
- Coordinate formation of international subsidiaries
- Prepare and organize incorporation documents and filings
- Assist with M&A deal execution
- Track filing deadlines, tax registrations, board meeting requirements, and government submissions
- Coordinate required filings to maintain entities in good standing
- Maintain corporate governance records
- Support use of the entity management platform
- Respond to entity-related requests across jurisdictions
- Coordinate corporate governance matters
- Coordinate signatures and filing of vendor contracts
- Gather and provide information for projects and transactions
