About the Role

You will advise on corporate governance, corporate housekeeping, licensing, and regulatory matters. You will maintain corporate records, prepare regulatory filings, and manage licensing applications, renewals, variations, and notifications. You will coordinate approvals and documentation for group transactions, track compliance deadlines, work with external counsel, negotiate commercial contracts, and attend hearings and case conferences.

Requirements

  • 1–5 years of post-qualification experience in corporate law, corporate secretarial practice, and regulatory compliance in the Philippines
  • Working knowledge of BSP, SEC, BIR, AMLC, and LGUs
  • Ability to manage documents and deadlines across multiple corporate entities
  • Legal judgment, analysis, communication, and business pragmatism
  • Fluency in English with strong writing and communication skills

Responsibilities

  • Provide legal and regulatory counsel on corporate governance, corporate housekeeping, and licensing
  • Maintain corporate records, including incorporation documents, books, minutes, resolutions, certificates, and information sheets
  • Prepare and file corporate and regulatory submissions with government agencies
  • Manage licensing applications, variations, renewals, notifications, and regulator responses
  • Manage approvals and documentation for group transactions and cross-border structuring
  • Track corporate and licensing deadlines and escalate compliance risks
  • Advise on legal issues and risks
  • Coordinate with external counsel and corporate secretarial providers
  • Draft, review, and negotiate commercial contracts
  • Attend case conferences and hearings with courts and government agencies
  • Handle additional matters assigned by the Chief Legal Officer
