About the Role
You will support corporate governance and Board activities, prepare meeting materials, maintain corporate records, and help prepare for a potential IPO. You will support securities filings, strategic transactions, financing events, due diligence, entity management, regulatory monitoring, policy development, cross-functional legal needs, and special projects.
Requirements
- Have at least four years of relevant experience at a law firm or as in-house counsel.
- Hold a JD degree.
- Maintain admission to the US Bar in at least one state.
- Demonstrate a strong interest in fintech.
- Possess strong written and verbal communication skills.
- Exercise excellent legal and business judgment.
- Have experience working with senior management and cross-functional teams in a fast-paced environment.
- Manage a high daily volume of tasks and projects while shifting priorities quickly.
- Demonstrate strong organization, attention to detail, execution, resourcefulness, proactivity, and flexibility.
Responsibilities
- Support the corporate governance framework and Board of Directors activities.
- Prepare board and committee resolutions, minutes, written consents, and meeting materials.
- Maintain corporate records and filings to preserve good standing.
- Implement governance practices appropriate for a late-stage private company.
- Assist with preparations for a potential initial public offering.
- Collaborate with internal stakeholders and external counsel on IPO readiness.
- Ensure compliance with applicable securities laws and SEC regulations.
- Help establish corporate governance structures and internal controls required for a public company.
- Assist with periodic SEC filings, exchange-rule compliance, and quarterly earnings materials following a potential IPO.
- Provide legal support for strategic corporate transactions and financing events.
- Assist with due diligence, transaction-document drafting, and deal-closing coordination.
- Manage subsidiaries and affiliated entities.
- Coordinate the formation of new entities and dissolution of inactive entities in the United States and internationally.
- Support changes to the corporate structure.
- Monitor developments in corporate and securities laws, SEC rules, and stock-exchange governance standards.
- Advise the legal team about regulatory changes that could affect the business.
- Develop, implement, and maintain internal corporate policies and governance programs.
- Collaborate with Finance, People, Stock Administration, and Compliance stakeholders on legal needs and company-wide initiatives.
- Handle special projects and ad hoc legal tasks as needed.
