About the Role

You will own the SEC reporting lifecycle and prepare 10-K, 10-Q, 8-K, proxy, and other securities filings, ensuring accuracy, compliance, and disclosure controls. You will manage governance processes and Board materials, maintain Nasdaq compliance, and support capital markets and financing transactions. You will collaborate with Finance, Investor Relations, HR, Tax, Treasury, and outside counsel on subsidiary management, insider trading compliance, equity compensation, and related corporate matters. You will operate with autonomy, exercise strong business and legal judgment, and manage multiple high-priority matters with attention to detail.

Requirements

  • Substantial experience advising public companies on SEC reporting, disclosure obligations, corporate governance, and capital markets
  • Combination of top-tier law firm training and meaningful in-house experience
  • Experience working directly with executive leadership and Boards of Directors
  • Ability to operate independently, manage complex matters, and exercise strong business and legal judgment
  • Highly organized and detail-oriented with ability to manage multiple high-priority workstreams

Responsibilities

  • Own SEC reporting and prepare 10-K, 10-Q, 8-K, and proxy filings
  • Ensure accuracy of disclosures and maintain disclosure controls
  • Manage governance processes and prepare Board and committee materials
  • Maintain Nasdaq compliance
  • Lead legal support for capital markets and financing transactions
  • Advise on equity compensation, insider trading compliance, and subsidiary management
  • Partner with Finance, Investor Relations, HR, Tax, Treasury, and outside counsel
